The EMS Group, with global activities in the business areas Performance Polymers and Fine Chemicals / Engineering and with its companies combined in EMS-CHEMIE HOLDING AG, has reached an agreement with ExNex AG, formerly Nexis Fibers AG, to take over their 100% subsidiary Nexis Fibers GmbH with production site in Neumünster, Germany. This became possible after ExNex AG filed for insolvency procedures on March 13, 2009. The agreement is conditional pending the final transaction contracts and approval from the corresponding authorities.
With this take over, EMS strengthens its own worldwide business with polyamide-based speciality technical fibres, which is carried out by the Business Unit EMS-GRILTECH from Domat/Ems, Switzerland.
Nexis Fibers GmbH develops, manufactures and markets speciality technical fibres based on polyamides and other polymers with annual net sales of around CHF 40 million and a current workforce of 95 employees. This is an unaffiliated business and is managed independently of the other business activities of ExNex AG which have already been sold.
EMS intends to integrate the Nexis Fibers GmbH in its own speciality fibre business and to continue work on the previous basis at both production sites in Domat/Ems, Switzerland and Neumünster, Germany.
The purchasing price in the low single-figure million range can be financed by EMS without any problems from its own liquid assets.
