The invitation to the Annual General Meeting of the EMS-CHEMIE HOLDING AG in Domat/Ems on August 8, 2015 was again followed by a large gathering of 2'029 people. A total of 19'665'434 registered shares were represented, corresponding to 90.09% of all shares entitled to vote.
The Youth Orchestra Kreuzlingen directed by conductor Stefan Roth, finalists of the Swiss TV live show "Battle of the Orchestras" last November, entertained the Annual General Meeting with lively Swiss classics coupled with dynamic marching choreography. Also the "Grisons March" was part of the programme. The official part of the meeting was brought to a close by the tambourine society Domat/Ems led by Andri Seglias.
In the enormous marquee on the production site at Domat Ems, shareholders were served a fine three-course lunch menu. Twelve chefs from the Cantinetta Bialla together with 30 helpers from the sports club Männerriege Tamins, prepared 145 kg salad, 80 kg cold cuts, 500 kg roast, 202 kg green beans, 560 kg potatoes and 335 kg ice cream. The lunch was served by more than 100 members of various local clubs.
As usual, shareholders were able to visit the extremely successful exhibition on the history of the EMS-CHEMIE (nearly 17,000 visitors to date).*
The Annual General Meeting approved all proposals from the Board of Directors including payment of an ordinary dividend of CHF 10.00 gross and an extra-ordinary dividend of CHF 2.00 gross for each dividend-bearing registered share. Dividend payment will commence on August 13, 2015. EMS shares will be traded ex-dividend from August 11, 2015.
Existing members of the Board of Directors, Dr Ulf Berg, Magdalena Martullo, Dr Joachim Streu and Bernhard Merki were re-elected for a further one-year term of office. Also elected were statutory auditor KPMG AG, Zurich, and the independent proxy Dr iur. Robert K. Däppen. Further, the remuneration 2014/2015 to the Board of Directors and the Senior Management as well as the proposed revision of the statutes were approved.
